Conditions of Sale

1. Validity These general contract terms and conditions ("Terms") govern the sale and supply of Products by Arance Speciale S.r.l. (hereinafter referred to as "Arance Speciale"), a company with registered office at Largo dei Vespri, 19 | 95128, Catania, Italy, tax code and VAT number IT 05314200873.

2. The Contract between the User and Arance Speciale

2.1 The submission of a purchase order ("Order") by the User implies full knowledge and acceptance of these Terms by the User.

2.2 There is no binding commitment between the User and Arance Speciale until Arance Speciale has sent an email to the User (to the address provided by the User) confirming the correct receipt of the Order, along with a printable version of these Terms and a summary of all information about the Product and Service provided to the User immediately before submitting the Order.

No commitment shall exist between the User and Arance Speciale, and therefore no contract shall be deemed concluded, in the event of evident and recognisable errors or inaccuracies occurring during the order submission process, due to causes attributable to either the User or Arance Speciale. These may include, but are not limited to, errors or inaccuracies regarding the User’s details (including the delivery address) or the identification, selection, quantity, or price of the Products. Arance Speciale reserves the right to verify the accuracy of Product prices indicated in the Catalogue before shipment, and in case of error, the Order will be cancelled. If delivery difficulties arise at the indicated delivery address, the User will be notified to arrange an alternative delivery method or receive a full refund of the amounts paid.

3. Definitions For the purposes of these Terms – in addition to other defined terms:

  • "Catalogue" refers to the collection of Products available for purchase by the User through the Portal;
  • "Consumer Code" refers to Legislative Decree No. 206 of 6 September 2005;
  • "Conditions" refer to these general contract terms and conditions, including any subsequent amendments or additions in accordance with Article 12, together with related annexes and other information published on the Portal, forming an integral and substantial part of these Terms;
  • "Consumer" refers to a natural person acting for purposes unrelated to their business, commercial, craft, or professional activity, as defined in Article 3 of the Consumer Code;
  • "Data" refers to the information provided by the User necessary for fulfilling contractual obligations, including tax obligations, as required by applicable regulations;
  • "Service Provider" always refers to Arance Speciale;
  • "Payment Processor" refers to the entity authorised under current legislation to provide payment services using the User's credit card;
  • "Privacy Policy" refers to the notice provided to the User pursuant to Article 13 of Legislative Decree No. 196/2003;
  • "Order" refers to the purchase order submitted by the User for one or more Products by clicking the “Purchase” button after completing the required fields and selecting a payment method;
  • "Party" refers to either Arance Speciale or the User;
  • "Parties" collectively refer to both Arance Speciale and the User;
  • "Portal" refers to the website "arancespecialeshop.com";
  • "Product" refers to any of the items available for purchase through the Portal, as detailed in the Catalogue, including but not limited to citrus fruits, fresh produce, food products, toys, gift boxes, merchandising items, and stationery;
  • "Registration Form" refers to the form on the Portal where the User enters their details to create an account and access the Service;
  • "Product Page" refers to the detailed information page about a Product, including price, availability, and estimated delivery time;
  • "Service" refers to the sale and supply of Products through the Portal, as described in the Catalogue, forming an integral and substantial part of these Terms;
  • "User" refers to the natural or legal person who, after correctly and truthfully registering their Data and paying the amount due as specified in Article 6, uses the Service.

4. Purpose 4.1 These Terms govern the provision of the Service by Arance Speciale, concerning the Products, whose detailed information is available in the Catalogue and individual Product Pages.

4.2 If a Product becomes unavailable during Order fulfilment, Arance Speciale will inform the User via email and update the Order accordingly by removing the unavailable Product. Other available Products in the Order will be shipped according to the estimated time indicated in the Product Page and FAQ, except in cases of unavailability as specified in Article 7. If all the Products in the Order are unavailable, Arance Speciale will notify the User via email that the Order has been cancelled.

6. Payment Methods 6.1 The available payment methods are:

  • Credit card;
  • PayPal.

6.2 Product prices are clearly indicated on the Product Page in Euros, including VAT. Shipping costs (as indicated on the Portal) may be added based on the requested delivery method or the price of individual or multiple Products in the Order. If a Product is unavailable or becomes unobtainable during Order processing, the User will be informed via email. After notification of unavailability, Arance Speciale will refund the User without undue delay, updating the Order accordingly. If no payment has been made for the unavailable Product, no amount will be due from the User.

7. Product Delivery Arance Speciale will deliver the Products listed in the Order to the address provided by the User. All delivery times on Arance Speciale’s website are estimates based solely on availability, normal Order processing, and delivery times declared by suppliers and couriers. The Product Page specifies a standard availability time, indicating the minimum estimated period required to obtain the Product from suppliers and make it available for shipment. The actual delivery time may differ from that indicated on the Product Page, as it depends on supplier performance. The Product Page also indicates the maximum time by which the Product will be delivered to the User, except in exceptional cases of unavailability, which will be communicated via email by Arance Speciale.

Arance Speciale may deliver the requested Products in multiple shipments under a single Order, charging the User only for the first shipment.

8. Payment Security

Arance Speciale guarantees the highest level of security for transactions carried out on its Portal. Payments are processed through secure and encrypted connections using certified protocols such as SSL (Secure Socket Layer) and PCI-DSS (Payment Card Industry Data Security Standard).

Arance Speciale does not store Users’ payment details. All financial transactions are managed by the Payment Processor, which is responsible for ensuring compliance with applicable financial security regulations.

In case of any fraudulent transactions or unauthorised charges, the User should immediately contact their bank or payment provider to dispute the charge and notify Arance Speciale via Customer Service.

9. Right of Withdrawal

9.1 Conditions for Exercising the Right of Withdrawal

Under Article 52 of the Consumer Code, the Consumer has the right to withdraw from the contract, without providing any reason, within 14 days from the date they or a designated third party (other than the courier) receive the purchased Products.

To exercise this right, the Consumer must notify Arance Speciale by sending an explicit withdrawal request via:

9.2 Exclusions from the Right of Withdrawal

As per Article 59 of the Consumer Code, the right of withdrawal does not apply to:

  • Perishable goods such as fresh food products, including citrus fruits and other fresh produce.
  • Sealed goods that are not suitable for return due to health protection or hygiene reasons, if opened after delivery.
  • Customised or personalised products.

9.3 Effects of Withdrawal

If the Consumer exercises the right of withdrawal, Arance Speciale will reimburse all payments received for the returned Product, including standard delivery costs (excluding any additional costs for express shipping). The refund will be processed using the same payment method used for the purchase, unless otherwise agreed.

The Consumer must return the Product within 14 days of communicating their withdrawal request. The return shipping costs are at the Consumer’s expense, unless otherwise specified by Arance Speciale.

10. Legal Warranty of Conformity

10.1 Scope of Warranty

Arance Speciale guarantees that the Products comply with the description provided on the Product Page and are free from defects at the time of delivery.

Under Articles 128-135 of the Consumer Code, Consumers have the right to a two-year legal warranty from the date of delivery for non-perishable goods. If a Product is defective or non-conforming, the Consumer may request:

  • Repair or replacement at no additional cost, unless the requested remedy is impossible or disproportionately expensive.
  • A price reduction or contract termination if repair or replacement is not possible within a reasonable time.

10.2 How to Report a Defect

To exercise warranty rights, the Consumer must report the defect to Arance Speciale within two months of discovering it, by contacting Customer Service at:

Photographic evidence or a detailed description of the defect may be required.

11. Modifications to the Terms

Arance Speciale reserves the right to modify these Terms at any time for legal, commercial, or technological reasons. The updated Terms will be published on the Portal, and Users will be notified in advance if changes affect their existing rights.

Orders placed before any modifications will be governed by the Terms in force at the time of purchase.

12. User Responsibilities

By using the Portal and placing Orders, the User agrees to:

  • Provide accurate and truthful Data.
  • Ensure the correct use of the Service, refraining from any fraudulent or illegal activities.
  • Promptly update any changes to their personal details (e.g., address, payment information).

Arance Speciale reserves the right to suspend or terminate a User’s account if they violate these Terms.

13. Limitation of Liability

Arance Speciale is not liable for:

  • Indirect damages (e.g., loss of profits, business interruption).
  • Delays or failures in delivery due to force majeure events, including natural disasters, strikes, or supplier disruptions.
  • User errors (e.g., incorrect address entry, failure to collect delivery).

The maximum liability of Arance Speciale is limited to the total amount paid by the User for the relevant Order.

14. Intellectual Property

All content on the Portal, including text, images, logos, and software, is the exclusive property of Arance Speciale or its licensors. Reproduction, distribution, or modification of any content without prior written consent is strictly prohibited.

15. Transfer Restrictions

Users may not assign or transfer their rights and obligations under these Terms to third parties without prior written consent from Arance Speciale.

Arance Speciale may transfer its rights and obligations under these Terms in case of business restructuring, merger, or sale of assets, provided that User rights remain unaffected.

16. Governing Law and Jurisdiction

These Terms are governed by Italian law, specifically the Consumer Code and the Civil Code.

For disputes involving Consumers, the competent court is the Consumer’s place of residence. For disputes involving business Users, the exclusive jurisdiction is the Court of Catania, Italy.

As an alternative, Consumers may resolve disputes through the Online Dispute Resolution (ODR) platform managed by the European Commission: https://ec.europa.eu/consumers/odr.

17. Severability Clause

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Data Protection and Privacy

Arance Speciale processes Users' personal data in compliance with EU Regulation 2016/679 (GDPR) and Italian data protection laws.
